Terms of Service

These terms govern the use of the Tratovi application for macOS (the "Application") and the associated services (the "Service"), provided by Mateo Moreno Beltrán, Empresario individual (autónomo), Tax ID 44568110K, with address at Calle de Juan Bravo 2, 4.º derecha, 28006 Madrid, España and email hola@tratovi.com ("Tratovi", "we"). By creating an account or using the Application, you accept these terms.

1. What Tratovi is

Tratovi is a meeting copilot for macOS. During a meeting, it transcribes audio on your computer, sends text fragments to an artificial-intelligence model and shows you real-time suggestions and answers; when the meeting ends, it generates a summary that is stored on your Mac. The Application is downloaded from tratovi.com and requires an account and an active subscription (or the trial period) to work.

3. Licence

We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to install and use the Application on the Mac computers you use, while your subscription or trial period is active and in accordance with these terms. You acquire no rights in the software beyond this licence.

You may not: copy, modify, decompile, reverse-engineer or create derivative works of the Application, except as permitted by law; rent, sublicense or resell it; circumvent its licensing or usage-control mechanisms; or use it to build a competing product based on its internal workings.

7. Recording meetings and third parties

Tratovi captures, only on your computer, audio from your microphone and from the other meeting participants in order to transcribe it. You decide which meetings you process. It is your responsibility to comply with the law applicable in your country and in the participants' countries, including, where required, informing them or obtaining their consent, as well as your organisation's internal rules. The Application does not automatically notify other participants.

8. Data protection and data processing agreement

The processing of your account data is described in the Privacy Policy, for which Tratovi is the controller.

In respect of meeting content (transcripts, context, summaries), Tratovi acts as a processor on your behalf, and you are the controller. To that end, and in compliance with Article 28 GDPR:

9. Availability, changes and support

We work to keep the Service continuously available but do not guarantee uninterrupted availability: there may be interruptions due to maintenance, provider failures or causes beyond our control. We may modify, add or remove features; if a change substantially reduces the contracted Service, you may cancel and request a refund of the unused part of the current period.

Support is provided by email at hola@tratovi.com, on business days and within a reasonable time.

10. Intellectual property

The Application, the website, their code, design, trademarks and content are the property of Tratovi or its licensors and are protected by intellectual and industrial property law. These terms transfer no rights in them to you, other than the licence in section 3.

11. Warranties and liability

If you are a consumer, you benefit from the statutory guarantees applicable to digital content and services under Spanish and European Union law, and nothing in these terms limits them.

To the extent permitted by law:

These limitations do not apply to damage caused by wilful misconduct or gross negligence, or where the law does not allow them.

12. Suspension and termination

You may stop using the Service and cancel your subscription at any time, and may request deletion of your account under the Privacy Policy.

We may suspend or terminate your access if you breach these terms, if your use creates security or legal risks, or if we are legally required to do so. Except in cases of serious breach, we will give you reasonable notice and, if we terminate the Service for reasons not attributable to you, we will refund the pro-rata share of the paid period not used.

13. Changes to these terms

We may update these terms. Significant changes will be notified to you by email or in the Application at least 15 days in advance. If you disagree, you may cancel before they take effect; continued use after that date constitutes acceptance.

14. Governing law and dispute resolution

These terms are governed by Spanish law. If you are a consumer residing in the European Union, you are also protected by the mandatory consumer-protection rules of your country of residence and may bring proceedings before the courts of your place of residence. For any other dispute, the parties submit to the courts of Madrid, Spain, unless the law provides for another mandatory forum.

Before going to court, we invite you to contact us at hola@tratovi.com to try to resolve the matter amicably. Consumers may also use the alternative dispute-resolution schemes for consumer matters available in their country, such as the Consumer Arbitration System in Spain.

15. General provisions

If any clause is held invalid, the rest remains in force. These terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and Tratovi regarding the Service. You may not assign your rights or obligations without our consent; we may assign them to a successor in the business, informing you beforehand. These terms are drafted in Spanish; in case of discrepancy with a translation, the Spanish version prevails.
